1. Acceptance
By accessing or using The Busy Agent Suite (the “Service”) you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorised to bind that organization.
2. The Service
Transaction Ops provides workflow assistance and document review support for real-estate transaction professionals. It helps users review packets of transaction documents and surface gaps before broker review. It includes automated extraction (delivered via large-language-model providers) and a deterministic rules engine.
3. AI-assisted output is not legal advice
Transaction Ops does not provide legal advice. It does not guarantee compliance. AI-generated findings, deadlines, broker-review reports, and any other Service output are decision-support tools and must be reviewed by a qualified human. Users are solely responsible for final broker, legal, and regulatory review before relying on the Service’s output for any contractual, regulatory, or fiduciary purpose. We make no warranty that the Service’s output is accurate, complete, or fit for any particular transaction.
4. Your responsibilities
- You are responsible for the accuracy of the data you upload and for ensuring you have the right to upload it.
- You will not upload personally identifiable information unrelated to a real-estate transaction, nor any content that is illegal, infringing, or harmful.
- You will use the Service only in accordance with applicable laws, including real-estate licensing rules and brokerage compliance requirements.
- You will subject every AI-generated finding to qualified human review before relying on it.
5. Account security
You are responsible for safeguarding your credentials. We use Supabase Auth for identity. Notify us promptly of any suspected unauthorised use of your account.
6. Subscription and billing
Subscription terms are governed by your separate subscription agreement. In the event of conflict, the subscription agreement controls.
7. Confidentiality
Each party will protect the other’s confidential information with reasonable care. The Service’s output, source code, architecture, and operational details are our confidential information.
8. Data
Use and processing of personal data is governed by our Privacy Policy and described operationally in our Security overview.
9. Intellectual property
We retain all rights, title, and interest in the Service. You retain rights in the data you upload, and grant us a limited licence to process it for the purpose of providing the Service.
10. Warranties and disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Termination
Either party may terminate for material breach not cured within 30 days of written notice. Upon termination we will, on request, provide an export of your data per our Privacy Policy.
13. Changes
We may update these Terms; material changes will be communicated to your account email at least 30 days in advance.
